Services Provided<\/h2>\n<p data-start=\"856\" data-end=\"997\">Scupe.ai LLC (\u201cProvider\u201d) provides website visitor identification, data enrichment, and analytics services (\u201cServices\u201d) through its platform.<\/p>\n<p data-start=\"999\" data-end=\"1024\">The Services may include:<\/p>\n<ul data-start=\"1025\" data-end=\"1415\">\n<li data-section-id=\"150rq6e\" data-start=\"1025\" data-end=\"1097\">Access to a website tracking pixel or script for Client installation<\/li>\n<li data-section-id=\"13kmr28\" data-start=\"1098\" data-end=\"1192\">Collection of website interaction data (e.g., page views, device data, behavioral signals)<\/li>\n<li data-section-id=\"w09yxw\" data-start=\"1193\" data-end=\"1237\">Identity resolution and visitor matching<\/li>\n<li data-section-id=\"2a3nm8\" data-start=\"1238\" data-end=\"1339\">Data enrichment using licensed third-party data providers and commercially available datasets<\/li>\n<li data-section-id=\"32a0tk\" data-start=\"1340\" data-end=\"1415\">Access to dashboards, reporting tools, APIs, webhooks, and integrations<\/li>\n<\/ul>\n<p data-start=\"1417\" data-end=\"1442\">Client acknowledges that:<\/p>\n<ul data-start=\"1443\" data-end=\"1669\">\n<li data-section-id=\"sdoh51\" data-start=\"1443\" data-end=\"1531\">Data may be derived from third-party, public, and commercially available sources<\/li>\n<li data-section-id=\"1auc3s6\" data-start=\"1532\" data-end=\"1604\">Data may include inferred, probabilistic, or modeled information<\/li>\n<li data-section-id=\"ppk0c2\" data-start=\"1605\" data-end=\"1669\">Provider does not independently verify all data for accuracy<\/li>\n<\/ul>\n<p data-start=\"1671\" data-end=\"1789\">Provider relies on external technologies, infrastructure, APIs, and data partners to deliver portions of the Services.<\/p>\n<h2 data-section-id=\"1iwyfug\" data-start=\"1796\" data-end=\"1815\">2. Permitted Use<\/h2>\n<p data-start=\"1817\" data-end=\"1975\">Client agrees to use the Services and all data obtained solely for lawful internal business purposes, including marketing, analytics, and customer engagement.<\/p>\n<p data-start=\"1977\" data-end=\"1994\">Client shall NOT:<\/p>\n<ul data-start=\"1995\" data-end=\"2680\">\n<li data-section-id=\"flkdhw\" data-start=\"1995\" data-end=\"2057\">Use the data for unlawful, deceptive, or abusive practices<\/li>\n<li data-section-id=\"134jxe0\" data-start=\"2058\" data-end=\"2181\">Use the data for eligibility decisions, including credit, employment, insurance, housing, or similar regulated purposes<\/li>\n<li data-section-id=\"a2g9rr\" data-start=\"2182\" data-end=\"2347\">Use the data in violation of applicable laws, including but not limited to the <strong data-start=\"2263\" data-end=\"2321\">CAN-SPAM Act, Telephone Consumer Protection Act (TCPA)<\/strong>, or similar regulations<\/li>\n<li data-section-id=\"pkx3j2\" data-start=\"2348\" data-end=\"2414\">Engage in unsolicited communications where consent is required<\/li>\n<li data-section-id=\"fxpma2\" data-start=\"2415\" data-end=\"2495\">Resell, sublicense, distribute, publish, or otherwise commercialize the data<\/li>\n<li data-section-id=\"yigiyo\" data-start=\"2496\" data-end=\"2581\">Use the data to build, enhance, or train a competing product, dataset, or service<\/li>\n<li data-section-id=\"hw6nb1\" data-start=\"2582\" data-end=\"2680\">Attempt to re-identify, reverse engineer, or misuse the Services beyond their intended purpose<\/li>\n<\/ul>\n<p data-start=\"2682\" data-end=\"2713\">All data is licensed, not sold.<\/p>\n<h2 data-section-id=\"1pxhoz1\" data-start=\"2720\" data-end=\"2742\">3. Fees and Billing<\/h2>\n<p data-start=\"2744\" data-end=\"2772\">Creating an account is free.<\/p>\n<p data-start=\"2774\" data-end=\"2808\">If Client upgrades to a paid plan:<\/p>\n<ul data-start=\"2809\" data-end=\"3032\">\n<li data-section-id=\"14m1emy\" data-start=\"2809\" data-end=\"2881\">Applicable fees will be displayed at checkout or provided in writing<\/li>\n<li data-section-id=\"1miuy6p\" data-start=\"2882\" data-end=\"2959\">Usage-based or per-profile charges apply as stated at the time of upgrade<\/li>\n<li data-section-id=\"16e6q7q\" data-start=\"2960\" data-end=\"3032\">Provider reserves the right to modify pricing with reasonable notice<\/li>\n<\/ul>\n<p data-start=\"3034\" data-end=\"3090\">Provider may suspend or terminate access for nonpayment.<\/p>\n<h2 data-section-id=\"wftnv2\" data-start=\"3097\" data-end=\"3123\">4. Term and Termination<\/h2>\n<p data-start=\"3125\" data-end=\"3200\">This Agreement begins on the Effective Date and continues until terminated.<\/p>\n<p data-start=\"3202\" data-end=\"3277\">Client may terminate at any time through the platform or by written notice.<\/p>\n<p data-start=\"3279\" data-end=\"3338\">Provider may suspend or terminate Services at any time for:<\/p>\n<ul data-start=\"3339\" data-end=\"3512\">\n<li data-section-id=\"kj21j4\" data-start=\"3339\" data-end=\"3370\">Violation of this Agreement<\/li>\n<li data-section-id=\"1t6gq71\" data-start=\"3371\" data-end=\"3385\">Nonpayment<\/li>\n<li data-section-id=\"1b4e5tu\" data-start=\"3386\" data-end=\"3412\">Misuse of the Services<\/li>\n<li data-section-id=\"vo412z\" data-start=\"3413\" data-end=\"3434\">Unlawful activity<\/li>\n<li data-section-id=\"n3sart\" data-start=\"3435\" data-end=\"3512\">Actions that negatively impact system performance, security, or integrity<\/li>\n<\/ul>\n<p data-start=\"3514\" data-end=\"3687\">Provisions that by their nature should survive termination\u2014including disclaimers, limitations of liability, indemnification, and intellectual property\u2014will remain in effect.<\/p>\n<h2 data-section-id=\"1716299\" data-start=\"3694\" data-end=\"3723\">5. Client Responsibilities<\/h2>\n<p data-start=\"3725\" data-end=\"3758\">Client is solely responsible for:<\/p>\n<ul data-start=\"3760\" data-end=\"4298\">\n<li data-section-id=\"dpd3z2\" data-start=\"3760\" data-end=\"3920\">Compliance with all applicable laws and regulations, including but not limited to:\n<ul data-start=\"3847\" data-end=\"3920\">\n<li data-section-id=\"zeolhy\" data-start=\"3847\" data-end=\"3862\">CCPA \/ CPRA<\/li>\n<li data-section-id=\"6gc8a6\" data-start=\"3865\" data-end=\"3873\">TCPA<\/li>\n<li data-section-id=\"1tjo6e\" data-start=\"3876\" data-end=\"3888\">CAN-SPAM<\/li>\n<li data-section-id=\"k0ccw8\" data-start=\"3891\" data-end=\"3920\">ePrivacy and similar laws<\/li>\n<\/ul>\n<\/li>\n<li data-section-id=\"6gw2rk\" data-start=\"3921\" data-end=\"4003\">Providing clear and accurate privacy policies, cookie notices, and disclosures<\/li>\n<li data-section-id=\"71x6yg\" data-start=\"4004\" data-end=\"4091\">Obtaining all legally required user consents before deploying tracking technologies<\/li>\n<li data-section-id=\"jmci42\" data-start=\"4092\" data-end=\"4155\">Proper installation and configuration of the tracking pixel<\/li>\n<li data-section-id=\"g0qqce\" data-start=\"4156\" data-end=\"4225\">Ensuring their website supports the functionality of the Services<\/li>\n<li data-section-id=\"nkkxag\" data-start=\"4226\" data-end=\"4298\">Lawful and appropriate use of all data obtained through the Services<\/li>\n<\/ul>\n<p data-start=\"4300\" data-end=\"4393\">Provider is not responsible for Client\u2019s compliance, implementation, or data usage practices.<\/p>\n<h2 data-section-id=\"1tfmguc\" data-start=\"4400\" data-end=\"4433\">6. Data Nature and Limitations<\/h2>\n<p data-start=\"4435\" data-end=\"4460\">Client acknowledges that:<\/p>\n<ul data-start=\"4462\" data-end=\"4752\">\n<li data-section-id=\"16w96qp\" data-start=\"4462\" data-end=\"4566\">Data is sourced from licensed third-party providers and publicly\/commercially available datasets<\/li>\n<li data-section-id=\"1xakr9y\" data-start=\"4567\" data-end=\"4618\">Data may be incomplete, outdated, or inaccurate<\/li>\n<li data-section-id=\"u1oiwn\" data-start=\"4619\" data-end=\"4684\">Identification rates and match performance vary significantly<\/li>\n<li data-section-id=\"1y7pu5c\" data-start=\"4685\" data-end=\"4752\">Data availability depends on external sources and user behavior<\/li>\n<\/ul>\n<p data-start=\"4754\" data-end=\"4782\">Provider does not guarantee:<\/p>\n<ul data-start=\"4783\" data-end=\"4900\">\n<li data-section-id=\"kcs9g6\" data-start=\"4783\" data-end=\"4819\">Any specific identification rate<\/li>\n<li data-section-id=\"16zsa1l\" data-start=\"4820\" data-end=\"4850\">Any minimum volume of data<\/li>\n<li data-section-id=\"1bh70p4\" data-start=\"4851\" data-end=\"4900\">Accuracy, completeness, or timeliness of data<\/li>\n<\/ul>\n<h2 data-section-id=\"ea8fcv\" data-start=\"4907\" data-end=\"4923\">7. Disclaimer<\/h2>\n<p data-start=\"4925\" data-end=\"4990\">Provider does not provide legal, financial, or compliance advice.<\/p>\n<p data-start=\"4992\" data-end=\"5142\">All Services are provided on an \u201cas-is\u201d and \u201cas-available\u201d basis without warranties of any kind, express or implied, including but not limited to:<\/p>\n<ul data-start=\"5143\" data-end=\"5275\">\n<li data-section-id=\"12sjvr5\" data-start=\"5143\" data-end=\"5178\">Accuracy or reliability of data<\/li>\n<li data-section-id=\"iss5e3\" data-start=\"5179\" data-end=\"5215\">Fitness for a particular purpose<\/li>\n<li data-section-id=\"9v40ge\" data-start=\"5216\" data-end=\"5236\">Non-infringement<\/li>\n<li data-section-id=\"rzv6lo\" data-start=\"5237\" data-end=\"5275\">Continuous or error-free operation<\/li>\n<\/ul>\n<p data-start=\"5277\" data-end=\"5346\">Client assumes all risk associated with use of the Services and data.<\/p>\n<h2 data-section-id=\"17cwg8l\" data-start=\"5353\" data-end=\"5382\">8. Limitation of Liability<\/h2>\n<p data-start=\"5384\" data-end=\"5461\">To the fullest extent permitted by law, Provider shall not be liable for any:<\/p>\n<ul data-start=\"5463\" data-end=\"5703\">\n<li data-section-id=\"teikd6\" data-start=\"5463\" data-end=\"5532\">Indirect, incidental, consequential, special, or punitive damages<\/li>\n<li data-section-id=\"19cr1s5\" data-start=\"5533\" data-end=\"5594\">Loss of profits, revenue, business opportunities, or data<\/li>\n<li data-section-id=\"1ln4o6t\" data-start=\"5595\" data-end=\"5618\">Reputational damage<\/li>\n<li data-section-id=\"1px0h56\" data-start=\"5619\" data-end=\"5659\">Regulatory penalties or legal claims<\/li>\n<li data-section-id=\"k9wg11\" data-start=\"5660\" data-end=\"5703\">Damages resulting from reliance on data<\/li>\n<\/ul>\n<p data-start=\"5705\" data-end=\"5759\">Provider\u2019s total aggregate liability shall not exceed:<\/p>\n<ul data-start=\"5760\" data-end=\"5878\">\n<li data-section-id=\"1hdzq1x\" data-start=\"5760\" data-end=\"5837\">The amount paid by Client in the three (3) months preceding the claim, or<\/li>\n<li data-section-id=\"1njp90v\" data-start=\"5838\" data-end=\"5878\">$100 if the Client is on a free plan<\/li>\n<\/ul>\n<p data-start=\"5880\" data-end=\"5899\">Whichever is lower.<\/p>\n<h2 data-section-id=\"sqgrnz\" data-start=\"5906\" data-end=\"5927\">9. Indemnification<\/h2>\n<p data-start=\"5929\" data-end=\"6131\">Client agrees to indemnify, defend, and hold harmless Provider and its officers, directors, employees, and affiliates from any claims, damages, liabilities, or costs (including legal fees) arising from:<\/p>\n<ul data-start=\"6133\" data-end=\"6385\">\n<li data-section-id=\"17q9ebv\" data-start=\"6133\" data-end=\"6173\">Client\u2019s use of the Services or data<\/li>\n<li data-section-id=\"yc5g3x\" data-start=\"6174\" data-end=\"6230\">Client\u2019s violation of applicable laws or regulations<\/li>\n<li data-section-id=\"1tariwq\" data-start=\"6231\" data-end=\"6274\">Failure to obtain required user consent<\/li>\n<li data-section-id=\"11p0oqj\" data-start=\"6275\" data-end=\"6352\">Improper, unlawful, or unauthorized communications or marketing practices<\/li>\n<li data-section-id=\"1m5fy20\" data-start=\"6353\" data-end=\"6385\">Any breach of this Agreement<\/li>\n<\/ul>\n<h2 data-section-id=\"9q4ijh\" data-start=\"6392\" data-end=\"6416\">10. Data Restrictions<\/h2>\n<p data-start=\"6418\" data-end=\"6437\">Client agrees that:<\/p>\n<ul data-start=\"6439\" data-end=\"6676\">\n<li data-section-id=\"1srw0on\" data-start=\"6439\" data-end=\"6485\">All data is licensed for internal use only<\/li>\n<li data-section-id=\"bxzcbw\" data-start=\"6486\" data-end=\"6538\">Data may not be resold, shared, or redistributed<\/li>\n<li data-section-id=\"aurhgj\" data-start=\"6539\" data-end=\"6616\">Data may not be used to create or enhance competing products or databases<\/li>\n<li data-section-id=\"o3ynte\" data-start=\"6617\" data-end=\"6676\">Data must be handled in compliance with applicable laws<\/li>\n<\/ul>\n<h2 data-section-id=\"97229p\" data-start=\"6683\" data-end=\"6705\">11. Confidentiality<\/h2>\n<p data-start=\"6707\" data-end=\"6845\">Both parties agree to protect all non-public business, technical, and financial information disclosed during the course of this Agreement.<\/p>\n<p data-start=\"6847\" data-end=\"6895\">Confidentiality obligations survive termination.<\/p>\n<h2 data-section-id=\"4daonn\" data-start=\"6902\" data-end=\"6930\">12. Intellectual Property<\/h2>\n<p data-start=\"6932\" data-end=\"7095\">All technology, software, scripts, tracking mechanisms, APIs, data processing methods, and related intellectual property remain the exclusive property of Provider.<\/p>\n<p data-start=\"7097\" data-end=\"7225\">Client receives a limited, non-exclusive, non-transferable license to use the Services solely as permitted under this Agreement.<\/p>\n<p data-start=\"7227\" data-end=\"7242\">Client may not:<\/p>\n<ul data-start=\"7243\" data-end=\"7392\">\n<li data-section-id=\"xcky7u\" data-start=\"7243\" data-end=\"7284\">Copy or reproduce Provider technology<\/li>\n<li data-section-id=\"1j25uwo\" data-start=\"7285\" data-end=\"7345\">Reverse engineer or attempt to derive underlying systems<\/li>\n<li data-section-id=\"c78fni\" data-start=\"7346\" data-end=\"7392\">Sublicense or share access to the platform<\/li>\n<\/ul>\n<h2 data-section-id=\"1egff3k\" data-start=\"7399\" data-end=\"7417\">13. Cooperation<\/h2>\n<p data-start=\"7419\" data-end=\"7589\">Client agrees to reasonably cooperate with Provider to enable proper operation of the Services, including implementing instructions and maintaining website accessibility.<\/p>\n<h2 data-section-id=\"wi77f7\" data-start=\"7596\" data-end=\"7616\">14. Governing Law<\/h2>\n<p data-start=\"7618\" data-end=\"7681\">This Agreement is governed by the laws of the State of Florida.<\/p>\n<p data-start=\"7683\" data-end=\"7817\">All disputes shall be brought in the state or federal courts located in Pinellas County, Florida, unless subject to arbitration below.<\/p>\n<h2 data-section-id=\"b3npkb\" data-start=\"7824\" data-end=\"7849\">15. Dispute Resolution<\/h2>\n<p data-start=\"7851\" data-end=\"7940\">Before initiating formal proceedings, the parties agree to attempt good-faith resolution.<\/p>\n<p data-start=\"7942\" data-end=\"8092\">If unresolved, disputes shall be resolved by binding arbitration administered by the American Arbitration Association in Pinellas County, Florida.<\/p>\n<ul data-start=\"8094\" data-end=\"8252\">\n<li data-section-id=\"f2mh5s\" data-start=\"8094\" data-end=\"8168\">Claims must be brought <strong data-start=\"8119\" data-end=\"8135\">individually<\/strong>, not as part of a class action<\/li>\n<li data-section-id=\"ywofgf\" data-start=\"8169\" data-end=\"8252\">The arbitration decision may be enforced in any court of competent jurisdiction<\/li>\n<\/ul>\n<h2 data-section-id=\"gevzyj\" data-start=\"8259\" data-end=\"8282\">16. Entire Agreement<\/h2>\n<p data-start=\"8284\" data-end=\"8392\">This Agreement constitutes the entire agreement between the parties and supersedes all prior communications.<\/p>\n<p data-start=\"8394\" data-end=\"8454\">By checking the required box during signup, Client confirms:<\/p>\n<ul data-start=\"8455\" data-end=\"8547\">\n<li data-section-id=\"txsfe0\" data-start=\"8455\" data-end=\"8487\">Acceptance of this Agreement<\/li>\n<li data-section-id=\"1g6t3c6\" data-start=\"8488\" data-end=\"8547\">Authority to bind the business or entity they represent<\/li>\n<\/ul>\n","protected":false},"excerpt":{"rendered":"<p>Effective Date: The date on which the Client creates an account and accepts this Agreement by checking the required box during signup.
